Position Summary

Covered is seeking an experienced, energetic, intellectually curious Finance professional to join our fast-growing business. This is a mission critical role and entrepreneurial opportunity for that ready talent. The Chief Finance Officer has a direct line reporting relationship to the CEO and is a core member of Covered's Executive Committee. The CFO is a valued visionary possessing an eye toward the future, works closely with top leadership and has a voice in strategic business recommendations. The Finance Officer is a strategic business partner possessing accounting prowess and strategic savvy with a firm grasp of business operations to complement the CEO to manage the business and leverages financial, big data and analytics to drive strategy, profitable growth and inform business decisioning. In partnership with executive leadership, the CFO leads organizational transformation through performance leadership, infusing accountability through the nurture and acquisition of world-class talent and leverages technology as a critical focus of financial, IT and cyber security competence. The successful talent will be responsible for overseeing all aspects of financial management, including accounting, budgeting, financial reporting, and regulatory compliance. This leader holds accountability for closely monitoring the Company’s financial health and plays a crucial role of ensuring the financial integrity, transparency, and sustainability of the organization while providing valuable financial insights and guidance to support strategic decision-making.

PERFORMANCE EXPECTATIONS

-- The CFO plays a critical role within the business and is valued as a leader and influencer expected to operate on an overarching scale leveraging financial data and analytics to achieve profitable growth, capitalize within a dynamic regulatory environment, and nurture and acquire world class talent.

-- Establish strong and effective relationships with executive colleagues and key business partners, particularly the CEO and play a critical role in advising the CEO in this industry-leading, growing, entrepreneurial firm.

-- Staff, align and direct day-to-day functions of the finance department.

-- Evaluate the structure and team and execute any necessary improvement of the efficiency and effectiveness of the department as well as provide individuals with professional and personal growth where possible.

-- Set the overall vision and strategy for the finance department, and clearly and concisely communicate it throughout the company while building, maintaining and developing the footprint, including treasury, controllership, and financial planning and analysis with a strong operational focus.

-- Development/management of detailed performance reporting, including analysis of key performance metrics to highlight operating issues/challenges or profit opportunities and be able to present this internally and externally to drive performance and profitable growth.

-- Develop and maintain the organization’s accounting policies and procedures in line with regulatory requirements and best practices.

-- Oversee the day-to-day operations of the accounting; payroll; tax; internal audit; compliance; and financial planning and analysis functions.
Lead and develop finance team members as the function evolves to support organization growth and change

-- Report and respond on all accounting, financial reporting, and regulatory compliance matters to the Audit Committee and the Board of Directors and represent the organization and lead all business relations with the organization’s external auditors.

-- Maintenance/development of commercial/investment banking, insurance and partner relationships and dialogue with the board and/or broader investment community.

-- Possess proven leadership qualities and ability to think strategically. This position requires a strategic mindset, with the business acuity and foresight to conceptualize new ideas and opportunities as well as the implementation skills to bring them to fruition.

-- Position and partner with stakeholders and strategic partners for operational effectiveness and profitable strategic growth.

-- Oversee long-term budgetary planning and cost management in alignment with the firm’s strategic plan. Devise and execute comprehensive financial plans, stay updated on all aspects of the operation company-wide and model effective stress management techniques.

-- Facilitate a professional and ethical manner that is beyond reproach.

-- Lead and direct models to maximize sales and profits firm-wide.

-- Evaluation of M&A activity and ensure sustained growth and bottom-line profitability. Will play a major role in positioning the company for a future transaction and/or public offering (or liquidity event).

-- Partner with the CHRO on compensation, benefit strategy, and plan design.

The CFO is accountable to both the organization and various regulatory entities and authorities. Well-versed in both generally accepted accounting principles (GAAP) and state and federal regulations e.g. Sarbanes-Oxley Act, Security Operations Center (SOC), etc. The fiscal health and overall fiscal health of the business including, but not limited to:

1. Building a top-performing finance and accounting team of talent
2. Ensuring revenues and expenses remain balanced
3. Overseeing Accounting and Financial Planning & Analysis functions
4. Voicing recommendations on mergers and acquisitions

REPORTING
As CFO we seek your leadership implementing a reliable system for creating and analyzing organized, accurate, and timely financial reports. This role provides to executives, board, investors and management an in-depth picture of the company’s performance and financial situation that is well-organized and easy to understand for product or sales planning, predicting cash flow, sales or expense trends, or providing support to management or business valuation.

Some financial reports are intended for internal use for future growth planning or providing the board or the management team with updates about the business’ financial trends. Other reports are needed for external entities, including lenders or investors, who might need to examine the company’s finances. The importance of accurate and consistent reports can’t be understated.

The company's success depends on its finances. As CFO you are relied on to provide management with the swift ability to interpret and compare financial reporting to identify critical trends and trigger levers to enable the company to shift and improve.

Role Tactics Include, But Are Not Limited To:
-- Oversee Financial Planning and Analysis and Accounting staff in providing best in class service to the internal departments, executives and shareholders.

-- Provide financial analysis and support to the management team to drive strategic decision-making.

-- Present to Board of Directors, Investors and other interested parties the financial and operating results and strategic initiatives of the company in partnership with other C-Suite Executives

-- Continue to manage and adjust as necessary effective financial policies, procedures, and internal controls to safeguard company assets and mitigate financial risks.

-- Monitor cash flow, budgeting, and financial planning activities, and provide recommendations to improve financial performance and efficiency.

-- Manage cash position, payment platforms and cash forecasting.

-- Provide monthly results analysis, monthly forecasting, annual budget, and operational reviews.

-- Conduct financial analysis and evaluation of business opportunities, investments, and cost-saving initiatives to support strategic decision-making.

-- Collaborate with cross-functional teams, including account managers and sales teams, to provide financial guidance and support for project pricing, contract negotiations, and profitability analysis.

-- Stay abreast of industry trends, changes in accounting regulations, and best practices in financial management, and make recommendations for process improvements and system implementations.

-- Prepare and present accurate and timely financial statements and reports to senior management, board of directors, auditors, and external stakeholders.

-- Ensure compliance with all tax, legal, and regulatory requirements, and coordinate with external auditors and consultants as needed.

-- Maintain equity and option records in the company's equity management software.

-- Support potential capital structure changes including equity transfers or investments, option exercises, and debt financing.

-- Manage, mentor, and develop a high-performing finance team both in the US and in other countries, and foster a culture of accountability, transparency, and excellence.

-- Work across the organization at the senior leadership level and across functional areas in order to translate financial performance for non-financial members of the organization.

-- Be willing to provide support across the enterprise to keep a pulse on the business, support the organizational culture and success of the company

-- Evaluate and manage existing and potential risk, work with the team on plans to monitor and mitigate risk.

Experience and Education

➢ Bachelor’s degree in Finance, Accounting, Economics, or relatedfield; CPA required, MBA preferred
➢ 12+ years of experience infinancial leadership roles
➢ Thorough understanding of Generally Accepted Accounting Principles (GAAP)
➢ Experience withfinancial reporting requirements in both public as well as Private Equity backed enterprises
➢ Fintech, Insurtech and/or Property and Casualty Insurance industry
➢ Strong analytical and problem-solving skills
➢ Excellent communication and interpersonal abilities
➢ Proficiency in accounting software(Quickbooks Online as well as mid-sized company accounting tools) and Microsoft Office as well as the Google Suite
➢ Ability to work under pressure, make well informed and impactful decisions under tight deadlines
➢ High level of integrity and ethical standards
